Investment
Restrictions

Foreign investors must receive consent from the Overseas Investment Commission to acquire 25% or more of the voting rights in a company if the transaction value exceeds NZD50 million, or if the total assets of the company exceed NZD50 million.

Foreign investors can hold only 15% of broadcast media shares (25% on approval). Aggregate foreign investment in Air New Zealand is limited to 49%.

Individual foreign investment in Telecom New Zealand is limited to 10% of the company’s voting shares.

Taxation

Dividend Tax Rate
30% withholding tax, reduced to 15% for countries that have a tax treaty in place.

Interest Tax Rate
Interest income is taxed at 15%, but can be reduced to 0% for government debt. Under the Approved Issuer Levy Regime, non-resident investors have the option to pay a 2% levy up-front, instead of the usual non-resident tax rate. For government debt, the Debt Management Office pays the levy on behalf of the investor. Interest is effectively paid gross.

Capital Gains Tax Rate: Foreign investors are exempt.
